SpeechLP Terms of Use (EULA)

Welcome to SpeechLP, operated by SpeechLP Corp. ("SpeechLP," "we," "us," or "our"). These Terms of Use (the "Terms") govern your use of our applications, websites, and related services (collectively, the "Services").

By downloading, installing, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

THESE TERMS CONTAIN A BINDING MEDICAL DISCLAIMER IN SECTION 4. PLEASE READ IT CAREFULLY.

1. End User License Agreement (EULA)

A. Scope of License: We grant you a personal, limited, revocable, non-exclusive, non-transferable license to download and use the SpeechLP application (the "Application") on any Apple-branded product (such as an iPhone or iPad) that you own or control. This license is granted strictly in accordance with these Terms and the usage rules set forth in the Apple App Store Terms of Service.

B. Restrictions: This license does not allow you to, and you agree not to:

Use the Services for any commercial purpose or for the benefit of any third party.
Copy, modify, adapt, reverse-engineer, decompile, or disassemble the Services or any part thereof.
Rent, lease, lend, sell, sublicense, or otherwise redistribute the Services.
Use the Services in any unlawful manner, for any unlawful purpose, or in any way inconsistent with these Terms.
Use any automated scripts, bots, or "scrapers" to collect information from or otherwise interact with the Services.
Misuse the Services, attempt to gain unauthorized access to our systems, or introduce viruses or other harmful code.

Any use of the Services in violation of these restrictions is a breach of this Agreement and may result in the immediate termination of your license and may subject you to legal action.

2. Intellectual Property

The Services, including all content, text, graphics, logos, trademarks, audio, video, and the underlying software and AI models ("Our Content"), are the exclusive property of SpeechLP Corp. and its licensors. Our Content is protected by copyright, trademark, and other international intellectual property laws. Your limited license to use the Services does not grant you any ownership rights in Our Content.

3. Subscriptions and Payments

A. Subscriptions: While the Application may be free to download, certain features or content may require a paid subscription ("Subscription"). All Subscriptions are processed through Apple's App Store and are subject to Apple's terms and conditions.

B. Billing and Auto-Renewal: Payment will be charged to your Apple ID account at the confirmation of purchase. Your Subscription will automatically renew for the same price and duration period unless you cancel it at least 24 hours before the end of the current billing period.

C. Cancellation: You must cancel your Subscription through your Apple App Store account settings. To avoid being charged for the next billing period, you must cancel at least 24 hours before the current period ends. If you cancel, you will retain access to the subscribed features until the end of your current billing period.

D. Refund Policy: All purchases are final. All billing and refund requests are handled directly by Apple. We do not have the ability to process refunds. If you believe you are entitled to a refund, you must request it directly from Apple through your App Store account or by contacting Apple Support. Your request will be subject to Apple's applicable refund policies.

E. Price Changes: We reserve the right to change our subscription prices. We will provide you with reasonable notice of any price changes by posting the new prices in the app or providing other notice.

4. Medical Disclaimer

A. Not Medical Advice: The Services provided by SpeechLP are for informational, educational, and support purposes only. SpeechLP is not a medical device and does not provide medical advice, diagnosis, or treatment.

B. No Patient Relationship: Your use of the Services does not create a therapist-patient or any other professional healthcare relationship between you and SpeechLP.

C. Consult a Professional: Always seek the advice of a qualified healthcare provider, such as a licensed Speech-Language Pathologist (SLP) or physician, with any questions you may have regarding a medical condition or speech disorder. Never disregard professional medical advice or delay in seeking it because of something you have read or experienced in the Services.

D. No Guarantee: We make no guarantees or warranties regarding any specific outcome, progress, or improvement from using the Services.

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPLICITLY DISCLAIM ANY AND ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPEECHLP CORP., ITS AFFILIATES, OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOSS OF DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM THESE TERMS OR THE USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify, defend, and hold harmless SpeechLP Corp. and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party right, including any intellectual property right.

8. Termination

We may suspend or terminate your license and access to the Services at any time, with or without cause or notice, if you breach these Terms. Upon termination, your license to use the Services will immediately cease, and you must delete the Application from your devices.

9. Contest Rules

From time to time, SpeechLP may run contests, giveaways, or promotions. Participation in these is voluntary and will be subject to specific rules and eligibility requirements published at the time of the contest.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the applicable federal laws of Canada, without regard to its conflict-of-law principles.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or within the Application. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
